User Agreement of the International Institute of Online Education Platform-V2.0


This User Agreement is a legally binding agreement concluded between International Centre for Higher Education Innovation under the auspices of UNESCO (Shenzhen, China) (hereinafter referred to as “UNESCO-ICHEI” or “we”) and the user of the International Institute of Online Education (hereinafter referred to as “IIOE”) platform (hereinafter referred to as the “User” or “you”).

Before you use the functions of the IIOE platform, please carefully read and understand the User Agreement of the International Institute of Online Education Platform (hereinafter referred to as the “Agreement”), especially the terms that are significantly related to your interests such as exemption or limitation of liability, licensing of rights, use of information, application of law, and dispute resolution as reasonably indicated in bold or underlined. If you do not agree to any of the terms of this Agreement, especially the aforementioned terms, please stop registering immediately. Once you click “Agree and Continue” on the web page or actually use any of the functions of the IIOE platform, you are deemed to have carefully read, understood, and agreed to this Agreement and voluntarily accept and comply with all the terms herein.

If you are a minor under the age of 18, please have your legal guardian carefully read and fully understand this Agreement and obtain your legal guardian’s explicit written consent to this Agreement. If your legal guardian does not agree to your signing the Agreement, please do not use or stop using the IIOE platform. If we find that you do not meet the age requirement or have no relevant capacity, your access or use may be terminated immediately without notice. If you are the legal guardian of a minor, please contact us in time through the method described herein when you have any questions about whether a minor in your custody is using the IIOE platform.

Article I General Provisions

1.1 User: The individual or organization that fills in the registration information, reads and agrees to this Agreement and the Privacy Policy of the International Institute of Online Education Platform, and completes the registration process on the IIOE platform in accordance with the registration requirements, also referred to as “you” in some of the terms herein.

1.2 IIOE platform: The website and related client applications affiliated with UNESCO-ICHEI under the name “IIOE” or “ICHEI”.

1.3 Functions of the IIOE platform: The functions provided by UNESCO-ICHEI through the IIOE website and related client applications based on the Internet (subject to the actual availability on the IIOE platform). You can choose to use one or more of the functions based on your needs and comply with the relevant rules.

1.4 Agreements and rules: The agreements, policies, rules, statements, interpretations, notices, announcements, warnings, tips, and instructions that have been or will be issued by the IIOE platform, which are an integral part of this Agreement and have the same legal effect as the body of this Agreement.

1.5 Changes: UNESCO-ICHEI has the right to modify or supplement this Agreement from time to time based on actual operational needs. The User will be notified of any changes to this Agreement by email, pop-up window, announcement, and other reasonable means to learn about the changes in a timely manner. The User can also access the latest version of this Agreement on the IIOE platform in “My-Settings-User Agreement” or by clicking “User Agreement” at the bottom of the homepage of the official website. The User shall terminate the use of Account immediately in the event of disagreement with the changes, otherwise the User will be deemed to have agreed and fully accepted the revised version of this Agreement. The revised Agreement will be effective immediately upon being posted on the IIOE platform and web pages. The registered User will be deemed to have accepted the revised Agreement by logging in to and continuing to use the IIOE platform. Unless otherwise stated in writing, any new contents and functions of the IIOE platform will be governed by this Agreement. In the event of any dispute, the latest User Agreement shall prevail.

Article II User Account

2.1 Eligibility The User shall have the full capacity to enjoy civil-law rights and the capacity to act that is appropriate to the civil acts the User is engaged in as prescribed by relevant laws and complete the registration as required by UNESCO-ICHEI to obtain an IIOE platform account (hereinafter referred to as the “Account”). If you do not have the aforementioned capacity to perform civil acts and the capacity to enjoy civil-law rights, please do not use the platform or terminate the Account immediately, or be sure to have your legal guardian carefully read and fully understand this Agreement and obtain your legal guardian’s explicit written consent to this Agreement, and you and your legal guardian shall bear all the consequences resulting therefrom.

In order to ensure the safety and uniqueness of your Account, you shall use an email address to which you have legal access to complete the registration or login.

2.2 Information The User shall not violate the rights of others such as portrait right, name right, trademark right and font size right or relevant laws or regulations, nor offend public order or good morals when setting the name, avatar, and other information of the Account.

The User shall fill in valid information as required by the IIOE platform and are obliged to keep the information valid. UNESCO-ICHEI is not responsible for any consequences arising from the User’s failure to update the information in a timely manner.

The ownership of your Account belongs to UNESCO-ICHEI and the right to use it belongs to you. If you need to change your Account information, you shall submit the relevant information that meets the requirements to UNESCO-ICHEI, and the change shall be made until reviewed and approved by UNESCO-ICHEI. You promise that you will assume all the legal risks caused by false, invalid, and inaccurate information and bear all the losses caused to UNESCO-ICHEI as a result.

2.3 Prohibition The User shall not register the Account with malicious intent (including but not limited to frequent registration and Account registration in batch). When registering and using the Account, the User shall comply with relevant laws and regulations and shall not perform any acts that infringe on national interests, damage the legitimate rights and interests of other citizens, and are detrimental to society. UNESCO-ICHEI reserves the right to refuse or terminate the User’s use of the IIOE platform and related network services and to hold the User liable as a result.

The User shall not rent, transfer, or sell the Account in any manner. If UNESCO-ICHEI finds or has reasonable grounds to believe that the Account user is not the initial registrant of the Account, it has the right to suspend or terminate the use of the Account without notice and has the right to cancel the Account without liability to the User that registered the Account. UNESCO-ICHEI is not responsible for any disputes between Users arising from the attribution of the Account. UNESCO-ICHEI reserves the right to hold the User legally responsible in the above circumstances.

2.4 Responsibility The User’s registration of the Account and all activities carried out through the Account are deemed as the User’s own actions and true expression of intent. The User is responsible for maintaining the security and confidentiality of personal Account and password, and shall assume full legal responsibility for activities conducted in the name of the Account, including but not limited to any data modification and content publishing operations on the IIOE platform. If the User discovers any illegal use of personal Account, the User shall immediately change the password and keep it safe. UNESCO-ICHEI is not responsible for any illegal use of the Account due to hacking or the User’s negligence.

2.5 Cancellation You may apply for cancellation of your Account under the following conditions: (1) You can only apply for cancellation of your own Account and shall follow the cancellation procedures specified in IIOE Platform Help Center or User Manual; (2) You shall still be responsible for your actions during the use of the IIOE platform before cancellation of the Account; (3) After successful cancellation, the IIOE platform will delete or desensitize your basic personal information. At the same time, Account records, functions, etc. will not be restored or provided. (4) After successful cancellation, this Agreement will be automatically terminated.

Article III Code of Conduct

3.1 Prohibited Conduct I When using the network services of the IIOE platform, the User must comply with relevant laws and regulations and must not commit or facilitate acts including but not limited to the following: (1) Promoting terrorism or extremism, or inciting the commission of terrorist or extremist activities; (2) Promoting evil cults or feudal superstition; (3) Inciting ethnic or racial hatred or discrimination; (4) Spreading rumors that disrupt social order; (5) Spreading terror, violence, murder, obscenity, gambling, etc. or abetting crimes; (6) Humiliating or defaming others or infringing on others’ reputation, privacy, or other legitimate rights and interests; (7) Committing fraudulent or misleading actions; (8) Committing actions that infringe on others’ legitimate rights and interests such as intellectual property rights; (9) Committing actions that undermine or attempt to undermine network security, including but not limited to malicious scanning over websites and servers, illegal intrusion into systems, and illegal acquisition of data by means of viruses, Trojan horse programs, malicious codes, phishing, etc.; (10) Committing any actions that change or attempt to change the system configurations provided by the IIOE platform or undermine the system security; (11) Using technical or other means to damage or disrupt the operation of the IIOE platform or the use of the IIOE platform by others; (12) Disrupting or attempting to disrupt the normal operation of any function of the IIOE platform in any way, or developing, releasing, or spreading the tools or methods for such purpose; (13) Applying for and registering trademarks, names, logos, mini programs, domain names, web pages, etc. that are identical or similar to those of UNESCO-ICHEI and affiliates of UNESCO-ICHEI for the purpose of conducting services that are identical, substantially identical, or similar to those of UNESCO-ICHEI and affiliates of UNESCO-ICHEI.

3.2 Prohibited Conduct II When you set up your Account or publish contents, you shall not contain the following information: (1) Information that violates relevant laws and regulations, or public order and good morals, or information with reactionary, pornographic, or other contents contained or hidden; (2) Certain national leaders, dignitaries, political parties, etc.; (3) Information on gender discrimination, racial discrimination, regional discrimination, etc.; (4) Uncivilized and unhealthy information with self-humiliating and self-molesting contents or insult, provocation, abuse, and personal attack on others, etc.; (5) Information that is likely to lead to ambiguity and misunderstanding; (6) Information that is obviously an advertisement; (7) Exaggerated title that is seriously inconsistent with the content; (8) Information that hypes gossips, scandals, bad deeds, etc.; (9) Improper comment on natural disasters, major accidents, and other catastrophes; (10) Information associated with blood, horror, cruelty, etc. that cause physical and mental discomfort; (11) Sexually suggestive or provocative information that may lead to sexual fantasy; (12) Information that endangers the User’s own life or the lives of others; (13) Information that may cause minors to imitate unsafe behaviors and violate social morality, induce minors to indulge in unhealthy habits, etc.; (14) Information that promotes harmful, negative, and decadent outlook on life, worldviews, and values; (15) Information that has a negative impact on the network ecosystem.

3.3 Prohibited Conduct III (1) The User shall not reverse engineer, reverse compile, or disassemble the platform, technical interfaces, or data; (2) The User shall not modify the platform, technical interfaces, or data in any respect such as content, function, logic, and interface; (3) The User shall not use the platform, technical interfaces, or data for purposes other than those set forth in this Agreement; (4) The User shall not use the IIOE platform for any unlawful purposes; (5) The User shall not use the IIOE platform to perform any act that may adversely affect the normal operation of the Internet or mobile network; (6) The User shall not use the network services provided by the IIOE platform to upload, display, or spread any false, harassing, defamatory, abusive, threatening, vulgar, obscene or any other illegal information; (7) The User shall not publish a large number of repetitive posts or advertising posts, maliciously spam or flood the screen; (8) The User shall not use the IIOE platform to perform any act that is detrimental to the platform.

3.4 Prohibited Conduct IV You represent and warrant that: (a) you are not a military end user and will not use the functions of the IIOE platform for military end use; and (b) you are solely responsible for complying with relevant laws and regulations and monitoring any related modifications.

3.5 Prohibited Conduct V High-risk use is prohibited. The platform is not allowed to be used in hazardous environments requiring automatic fail-safe control, including but not limited to aircraft navigation and communication systems, air traffic control, life support systems, weapon systems, nuclear facilities, and any other high-risk environments.

3.6 Handling IIOE platform may, in its reasonable discretion, stop the spreading of any of the aforementioned contents in violation of the aforementioned prohibitions, and may, in its sole discretion, take appropriate legal action against any User that violates this Agreement, including but not limited to removing the contents, block the use of all or some of the functions, retaining relevant information in accordance with laws and regulations, reporting to relevant authorities, and initiating legal proceedings. UNESCO-ICHEI reserves the right to handle any situation arising from any improper User behavior that UNESCO-ICHEI deems necessary at any time without the consent of the User.

3.7 Content Any content posted by the User through the IIOE platform does not reflect the views or policies of UNESCO-ICHEI and UNESCO-ICHEI does not assume any responsibility for it. The User is solely responsible for the authenticity, legality, harmlessness, and validity of the above contents. Any liabilities related to the information posted by the User shall be borne by the User, not the IIOE platform.

3.8 Operation UNESCO-ICHEI uses existing technologies to maintain the normal operation of the entire IIOE platform and provides the User with free services for the public good, depending on what is announced on the corresponding pages of the IIOE platform (such as free public classes and free online community services). UNESCO-ICHEI will respond to any questions or feedback from the User when using the IIOE platform. UNESCO-ICHEI has the right to designate its affiliates to operate the IIOE platform based on operational needs at its sole discretion, and to arrange for its affiliates to provide the User with certain functions herein. By knowing and agreeing to accept the relevant functions, the User is deemed to accept relevant rights and obligations and be bound by this Agreement.

3.9 Equipment The User can use the functions of the IIOE platform free of charge through the Account the User registered. The User shall have necessary equipment for accessing the Internet, including personal computer, mobile phone, or other necessary devices and shall bear costs such as phone bills for Internet access arising from using such access method.

Article IV Intellectual Property Rights

4.1 Related Ownership The intellectual property rights to the contents provided by UNESCO-ICHEI on the IIOE platform (including but not limited to software, technologies, programs, web pages, text, pictures, images, audio, videos, graphics, layout, electronic documents) are owned by UNESCO-ICHEI. The copyright, patent, and other intellectual property rights to the software based on which the service hereunder provided by UNESCO-ICHEI are owned by UNESCO-ICHEI. Without the permission of UNESCO-ICHEI, no one may use (including but not limited to monitoring, reproducing, spreading, displaying, mirroring, uploading, and downloading through any robot program or device) the IIOE platform software and contents of relevant services or engage in any other activities that violate the relevant laws and regulations. UNESCO-ICHEI and the copyright holder will hold the individual and organization that infringe on the intellectual property rights of UNESCO-ICHEI liable in accordance with the law.

The User confirms that the text, images, videos, audio, etc. posted and uploaded on the IIOE platform are all original to the User or legally authorized. The intellectual property rights of any content posted and uploaded by the User through the IIOE platform belong to the User or the copyright holder.

4.2 Authorization The User acknowledges and agrees to grant UNESCO-ICHEI and its affiliates a worldwide, royalty-free, non-exclusive, and sublicensable right (including but not limited to the rights to reproduce, translate, compile, communicate information on networks, adapt, and make derivative works) to use the contents uploaded by the User as mentioned in Article 4.1 above, including but not limited to on the current or other websites, applications, products, or end devices. The above right granted includes the right and license to use, reproduce, and display the personal image, personal experience, portrait, name, trademark, and logo that the User owns or is licensed to use and inserts into the contents.

The User acknowledges and agrees to learn about and voluntarily participate in online and offline events posted on the IIOE platform through the IIOE platform. UNESCO-ICHEI may conduct recording activities such as photographing, sound recording and videotaping and separately enjoys full and complete intellectual property rights to the works produced in the said recording activities. The User hereby grants UNESCO-ICHEI and its affiliates an exclusive, worldwide, perpetual, and royalty-free license and right, with the right to sublicense such right on multiple levels, to use, reproduce, modify, rewrite, publish, translate, display, and create derivative works from the relevant information and data in whole or in part and/or to incorporate the above information in other works in any form, media or technology now known or later developed. The above right granted includes the right and license to use, reproduce, and display the personal image, personal experience, portrait, name, trademark, and logo that the User owns or is licensed to use and inserts into the contents.

The User acknowledges and agrees to authorize UNESCO-ICHEI to act on behalf of the User or entrust a professional third party to defend the User’s intellectual property rights against infringement with regard to the contents uploaded and posted by the User in forms including but not limited to monitoring infringement, sending a letter of defense of rights, and filing a lawsuit, arbitration, mediation or settlement. UNESCO-ICHEI has the right to make decisions on the defense of rights and implement them independently.

4.3 Derivative Property Rights UNESCO-ICHEI provides technical support for the development and operation of the IIOE platform and its functions and enjoys all rights to all data, information, etc. generated during the development and operation of the IIOE platform and its functions.

4.4 Statement of Rights Under no circumstances shall the User use any trademark, logo, domain name, website name, or other distinctive brand features of UNESCO-ICHEI for private purposes. Without the written consent of UNESCO-ICHEI, the User shall not display, use, or use for applying for trademark registration or domain name registration the aforementioned intellectual property rights either independently or in combination, nor conduct any act that indicates in an express or implied manner that the User has the right to display, use, or otherwise treat those intellectually property rights. The User shall be fully liable for any loss caused to UNESCO-ICHEI or any other person by the User’s use of the aforementioned intellectual property rights in breach of this Agreement.

4.5 Complaint If the User finds any content of the website or applications of the IIOE platform that infringe on their rights, the User may notify the IIOE platform and provide preliminary evidence that the User has relevant right and the right has been infringed on in accordance with the instructions specified in the IIOE Platform Infringement Complaint Guidelines. The IIOE platform will handle the User’s complaint in accordance with local laws and regulations and this Agreement.

Copyright Policy and Infringement Complaint Guidelines

The information uploaded or spread by the IIOE platform according to the User’s instructions may be suspected of infringing on the legitimate rights and interests of the right holder. If the right holder believes that the information on the IIOE platform infringes on their legitimate rights and interests, the right holder may notify us according to the following policy and complaint guidelines and we will handle the matter in accordance with the law.

(1) Policy a. If UNESCO-ICHEI has the reason to believe that the information it uploaded or spread according to the User’s instructions is suspected of obviously infringing on the legitimate rights and interests of any third party after review, it has the right to remove such allegedly infringing information at any time without prior notice to the User; b. UNESCO-ICHEI will remove the allegedly infringing information within reasonable time after receiving the notice of infringement complaint that meets the requirements; c. UNESCO-ICHEI has the right to stop the use of functions by the User who is proved to have repeatedly uploaded infringing information.

(2) Notification a. If you believe that any content uploaded or spread by IIOE platform users through the IIOE platform infringes on your legitimate rights and interests, you may send an email to iioe@ichei.org, an email address set up by UNESCO-ICHEI to receive notices of infringement complaint, to request that such information be removed or the link to such information be disconnected. b. The notice of complaint shall contain the following: b1 Name, contact information, address, identity document, and organization document of the right holder; as for complaint made on behalf of the right holder, in addition to the above information and documents of both the complainant and the right holder, a valid letter of authorization of the right holder is also required. b2 The exact name and link of the infringing information requested to be removed or disconnected for UNESCO-ICHEI to find and preliminarily review the allegedly infringing information, and the type of right infringed by the complained contents (such as right of communication of information on networks, copyright, reputation right, and portrait right). b3 Preliminary evidence of infringement.

(3) Warranty The right holder warrants that the statement in the notice and the materials provided are true, legal, and valid and that he/she will bear and compensate for all the losses suffered by UNESCO-ICHEI as a result of handling the complained contents according to the notice of the right holder. The notice shall be signed or sealed by the right holder or their legally authorized person in accordance with relevant laws and regulations.

(4) Handling After receiving the notice from the right holder: (i) UNESCO-ICHEI will remove the allegedly infringing information or disconnect the link to the allegedly infringing information within reasonable time and notify the information provider; (ii) UNESCO-ICHEI has the right to suspend the handling of the complaint notice that does not meet the requirements of the complaint guidelines until the right holder makes corrections. (iii) In addition to performing necessary procedures, for the User that uploads the same infringing information multiple times using the same Account, UNESCO-ICHEI has the right to terminate the use of the Account without prior notice. (iv) While handling the complaint, UNESCO-ICHEI may forward the notice of complaint to the information provider in accordance with the law. If the information provider submits a counter-notice in accordance with the law, UNESCO-ICHEI will forward the counter-notice to the right holder. In the event of any objection to the counter-notice, the right holder shall handle the dispute directly with the information provider through relevant administrative or legal procedures.

(5) Counter-notice a. If the information provider believes that the information provided is not infringing after receiving the notice forwarded by UNESCO-ICHEI, the information provider may submit a counter-notice to UNESCO-ICHEI to request the removed information or the disconnected link to the information be restored. The counter-notice shall be singed or sealed by the information provider or their legally authorized person in accordance with relevant laws and regulations. b. The counter-notice shall contain the following: b1 Name, contact information, address, identity document, and organization document of the information provider; b2 The exact name and link of the information requested to be removed or disconnected; b3 Preliminary evidence of no infringement, such as relevant proof of ownership. b4 The information provider shall be responsible for the authenticity, legality, and validity of the counter-notice. Otherwise, the information provider will bear all the legal responsibilities as a result. c. After receiving the counter-notice from the information provider that meets the requirements, UNESCO-ICHEI will restore the removed information or the disconnected link to the information and forward the counter-notice from the information provider to the right holder.

Article V Disclaimer

5.1 Force Majeure The User acknowledges and agrees to bear the risks beyond the control of UNESCO-ICHEI when using the IIOE platform, including but not limited to: (1) Objective circumstances that cannot be foreseen, avoided, or overcome such as natural disasters, government actions, promulgation and adjustment of laws and regulations, and unrest; (2) Network security incidents such as damage caused by computer viruses, Trojan horse programs, other malicious programs, or hacker attacks; (3) Other circumstances that are not the fault of, beyond the control of, or not reasonably foreseeable by UNESCO-ICHEI.

5.2 Third Party (1) Causes attributable to infrastructure operators, including but not limited to the technical adjustment of the telecommunications sector, destruction of telecommunications/power lines by others, and the installation, modification, and maintenance of telecommunications network/power resources. (2) Failure of computer software, system, hardware, and communication lines of the User or any third party. (3) Losses and risks caused by the User’s improper operation or use of the IIOE platform in ways other than those authorized by UNESCO-ICHEI.

5.3 Exemption from Liability for Breach of Agreement UNESCO-ICHEI shall not be liable for any failure to properly perform this Agreement due to force majeure, causes attributable to any third party, network security incidents or other unforeseeable or unavoidable events beyond the reasonable control of UNESCO-ICHEI, but shall endeavor to minimize the relevant impact.

5.4 Technical Defects The User understands and agrees that the functions of the IIOE platform are subject to the current technical conditions and are not guaranteed to be free of defects. Therefore, UNESCO-ICHEI shall not be liable for any defects that are unavoidable due to current technical level of the industry, and the parties shall work together amicably to resolve the problems.

5.5 Maintenance and Update In order to ensure functional perfection, UNESCO-ICHEI has the right to repair, maintain, upgrade, and optimize the IIOE platform or related equipment, systems, software, etc. on a regular basis or from time to time, with prior notice to the User. UNESCO-ICHEI shall not be liable for any interruption or instability resulting therefrom.

UNESCO-ICHEI will continue to develop new functions of the IIOE platform and update the contents from time to time. Such updates may take the form of software replacement, modification, functional enhancement, version upgrade, etc. UNESCO-ICHEI reserves the right to change or limit the effect of some functions based on operational and security requirements.

5.6 User Consent The IIOE platform provided by UNESO-ICHEI is purely for public benefit. The User expressly agrees that the risks and all consequences of using the IIOE platform will be borne entirely by the User and UNESCO-ICHEI will not assume any responsibility for the User.

UNESCO-ICHEI does not guarantee that the functions of the IIOE platform will meet the requirements of the User, nor does it guarantee the continuity, timeliness, security, or accuracy of the network. UNESCO-ICHEI shall not be liable for any indirect losses or loss of anticipated benefits suffered by the User that were not foreseeable by UNESCO-ICHEI at the time this Agreement came into effect.

UNESCO-ICHEI does not guarantee the accuracy and completeness of external links set up for the convenience of the User and is not responsible for the contents on any web pages not under the actual control of UNESCO-ICHEI to which such external links direct the User.

The contents and information on the IIOE platform community and uploaded by Users are for reference only and are not intended as a guide. The User is solely responsible for the knowledge, professionalism, and legality of the photos or articles uploaded or the statements made in the discussion forum and UNESCO-ICHEI does not assume any responsibility.

Article VI Suspension and Termination

6.1 Circumstances for Termination The use shall be terminated under the following circumstances: (1) Termination by mutual agreement of the parties; (2) UNESCO-ICHEI has the right to terminate the use by the User that violates law and regulations or this Agreement.

6.2 Operation Adjustment UNESCO-ICHEI has the right to adjust or terminate some or all functions at any time according to its operation arrangements, including but not limited to halting, iterating, and integrating functions. But it will notify the User within reasonable time for the User to transfer and back up the relevant data and make relevant adjustments.

6.3 Handling of Breach of Agreement (1) If UNESCO-ICHEI finds or receives complaints from others that the User has violated laws and regulations or this Agreement, it has the right to remove or disable access to relevant contents at any time without notice, apply penalties to the Account concerned including but not limited to restricting or prohibiting the use of some or all functions and banning the Account depending on the seriousness of the case and announce the treatment, and refuse to provide services to the entity again in accordance with this Agreement. (2) If the User violates this Agreement, UNESCO-ICHEI has the right to independently judge and take measures as appropriate, including but not limited to advance warnings, refusal of posting, immediate stop of the spreading of information, deletion of comments, audio, videos and other contents, short-term ban on posting, restriction of some or all functions of the Account concerned, and closure of the Account. UNESCO-ICHEI has the right to announce the treatment and decide whether to restore the User’s use of functions. For suspected illegal and criminal acts, UNESCO-ICHEI will keep relevant records, report to relevant authorities in accordance with the law, and cooperate with their investigation. UNESCO-ICHEI has the right not to return the deleted contents. (3) UNESCO-ICHEI is not deemed as in breach of this Agreement if it takes appropriate measures in accordance with this Agreement for the violation of this Agreement by the User. The User shall be liable for any damage caused to the User as a result, including but not limited to data emptying. At the same time, the User shall be liable for any consequences and compensate for any losses caused to UNESCO-ICHEI arising from the User’s violation of this Agreement. (4) The User shall be solely and fully liable for complaints or litigation claims by any third party due to violation of the provisions of this Agreement by the User. If UNESCO-ICHEI pays compensation to any third party or is punished by relevant government authorities due to the User’s violation of the law or this Agreement, the User shall also fully compensate UNESCO-ICHEI for all the losses suffered as a result. (5) UNESCO-ICHEI respects and protects legitimate rights and interests such as intellectual property rights, reputation rights, name rights, and privacy rights. The User guarantees that the text, videos, audio, links, etc. uploaded by the User when using the IIOE platform do not infringe on the intellectual property rights, reputations right, name right, privacy right, and other legitimate rights and interests of any third party. Otherwise, UNESCO-ICHEI reserves the right to remove the allegedly infringing contents upon receipt of notice from the right holder or related party. The User shall be liable for all claims made by the third party and fully compensate UNESCO-ICHEI for all losses suffered due to the User’s infringement, including but not limited to economic losses and reputation damage.

6.4 Special Circumstances In view of the specificity of network services, the User agrees that UNESCO-ICHEI has the right to alter, suspend or terminate some or all functions of the IIOE platform at any time without notice to the User and without any liability to any User or any third party.

Article VII Privacy Statement

7.1 Personal information UNESCO-ICHEI attaches great importance to the protection of User information and protecting the User’s personal information is one of the fundamental principles of UNESCO-ICHEI. Without your consent, UNESCO-ICHEI will not disclose your personal information to any company, organization, or individual outside of UNESCO-ICHEI, except as otherwise provided by relevant laws and regulations.

For better functions of the IIOE platform and corresponding technical support, the User understands and agrees that the registration information and usage information may be provided to UNESCO-ICHEI and its affiliates for use. UNESCO-ICHEI has the right to collect, use, store, and share the User’s personal information in compliance with relevant laws and regulations, this Agreement, and the Privacy Policy of the International Institute of Online Education Platform. UNESCO-ICHEI will also protect the User’s rights to browse, modify, and delete relevant personal information and withdraw consent in accordance with the law.

The User may browse and modify personal information at any time, and understands and agrees that some of the initial registration information provided at the time of registration may not be modified due to security and identification considerations such as Account or password retrieval and grievance services.

7.2 Message Notification UNESCO-ICHEI or its affiliates have the right to send the following messages to the User via email or other means when necessary, based on the contact information provided by the User at the time of registration or use, including but not limited to email address: (1) Important notification messages, including but not limited to password reset alert. Such messages require prompt attention from the User as they may have a significant impact on the rights and obligations of the User. (2) Event notification messages, which mainly refer to notification of online or offline events sponsored or co-sponsored by UNESCO-ICHEI. If the User does not want to receive such messages, the User may cancel push notifications temporarily or permanently by turning off the platform notifications in “Personal Center-Settings-Message Notifications”.

7.3 Information Protection UNESCO-ICHEI will use security technologies and other security measures that match the functions of the IIOE platform and establish a sound management system to protect the User’s personal information from improper use, unauthorized access and use, and leakage.

UNESCO-ICHEI will not disclose the User’s personal information to any company, organization, or individual outside of UNESCO-ICHEI without the User’s consent, except for the following circumstances: (1) Where the User’s express consent has been obtained in advance; (2) Where such sharing, transfer, or disclosure of personal information to other companies, organizations, and individuals is made by the User; (3) Where the disclosure or provision is required by applicable laws and regulations, necessary in accordance with mandatory administrative and judicial requirements, or is directly related to criminal investigation, prosecution, trial, and execution of judgments. Subject to laws and regulations, when UNESCO-ICHEI receives a request for such disclosure of information, it will require the relevant party to provide corresponding legal documents and carefully review the legal basis for all requests; (4) Where the personal information is obtained from lawfully disclosed information, such as lawful news reports, government information disclosure, and other sources; (5) Other circumstances stipulated by relevant laws and regulations.

Please note that the User shall not disclose their passwords and other important information when using the IIOE platform. Otherwise, the User shall be liable for any losses resulting therefrom. The User shall take necessary and effective security protection measures for the computer information systems and devices used and shall be liable for any damage to their rights and interests caused by their failure to take such measures.

The User shall be cautious about data deletion, modification, and other operations on the IIOE platform, bear all the consequences arising from such operations, and back up relevant data based on personal needs. If the User terminates or cancels the use of the IIOE platform or their use of the IIOE platform is terminated or canceled, UNESCO-ICHEI may permanently remove the User’s data from the server. After the User terminates or cancels the use of the IIOE platform or their use of the IIOE platform is terminated or canceled, UNESCO-ICHEI is not obligated to return any data to the User.

The User shall fully respect the personal information of anyone that the User learns about, receives, or has access to through the IIOE platform and shall not collect, reproduce, store, spread or use in any other way the personal information of third parties without express authorization or consent. Otherwise, the User shall bear the consequences resulting therefrom.

7.4 Third Party Relevant functions of the IIOE platform may contain or link to information or services provided by third parties. The User acknowledges and understands that the third parties operating such functions or services may request personal information from the User. UNESCO-ICHEI hereby reminds the User that the User needs to carefully read the user agreements, privacy policies, and other relevant terms and conditions of such third parties, properly protect personal information, and provide it to such third parties only when necessary. The Agreement and other agreements and rules related to the functions of the IIOE platform, including but not limited to the Privacy Policy of the International Institute of Online Education Platform, do not apply to services provided by any third party. UNESCO-ICHEI shall not be liable for any consequences that may arise from the use of personal information provided by the User by a third party. For more information about the protection of Users’ personal information, please refer to the Privacy Policy of the International Institute of Online Education Platform.

7.5 Special Term for Minors UNESCO-ICHEI attaches great importance to the protection of personal information of minors. If you are a minor under the age of 18, please have your legal guardian carefully read and fully understand this Agreement and obtain your legal guardian’s explicit written consent to this Agreement. If we find that you do not meet the age requirement or have no relevant capacity, your access or use may be terminated immediately without notice. If your legal guardian does not agree to your signing the Agreement, please do not use or stop using the IIOE platform.

Article VIII Application of Law, Dispute Resolution and Miscellaneous

8.1 Place of Signing The place of signing this Agreement is Shenzhen, Guangdong Province, People’s Republic of China.

8.2 Application of Law The formation, entry into force, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People’s Republic of China. If any provision of this Agreement is invalid due to conflict with the laws of the mainland of the People’s Republic of China, such provision will be reinterpreted as close as possible to the original intent of this Agreement, and other provisions of this Agreement shall remain in full force and effect.

8.3 Dispute Resolution In the event of any dispute between the User and UNESCO-ICHEI, the parties shall endeavor to resolve it amicably through negotiation. If the negotiation fails, the User agrees that the dispute shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration in accordance with the then applicable arbitration rules of SCIA.

8.4 Relationship The User and UNESCO-ICHEI are both independent entities. In no event shall this Agreement constitute a warranty or condition of any kind, express or implied, by UNESCO-ICHEI to the User, nor shall it constitute an agency, partnership, joint venture, or employment relationship between the parties.

8.5 Special Notes The headings in this Agreement are for convenience and reading purposes only and do not affect the meaning or interpretation of any provision of this Agreement. If any provision of this Agreement is, for any reason, invalid or unenforceable, the remaining provisions shall remain in effect and binding on the parties.

8.6 Update and Maintenance UNESCO-ICHEI may modify and supplement this Agreement from time to time in accordance with changes in relevant laws and regulations, functional adjustments, protection of rights and interests, etc. The changed Agreement will be made public and notified to you through legal procedures and you can check the terms of the Agreement on the IIOE platform. If you do not agree to the changes, you have the right to contact UNESCO-ICHEI for feedback prior to the effective date of the changes. If the feedback is accepted, UNESCO-ICHEI will adjust the changes as appropriate. If you do not agree to the changes that have taken effect, you shall stop using the functions of the IIOE platform from the effective date of the changes and the changes have no effect on you; if you continue to use the functions of the IIOE platform after the changes have taken effect, you are be deemed to have agreed to the changes that have taken effect.
